German original: “Streitig und zu prüfen ist, ob die Vorinstanz Bundesrecht verletzte, indem sie in Auslegung von Art. 8 Abs. 1 lit. c StG (SR 641.10) zum Schluss kam, dass die Emissionsabgabe von 1% auf dem Nennwert aller im Verkaufszeitpunkt bestehenden Beteiligungsrechte (abzgl. des Freibetrags von Fr. 1'000'000.-) zu erheben ist. Dezember 2022 ein Mantelhandel i.S.v. Art. 5 Abs. 2 lit. b StG und somit ein Abgabeobjekt vorliegt.
